I'm from NC and I did a Google search about incorporating in Nevada but am still a bit confused on some issues.Is there a step by step way to do it including having an agent making address?

Also, it is probably not best to get this type of advice on a forum unless someone PM's you who has done it before.
You really should see a Tax accountant or lawyer to arrange this for you or give you professional advice.

For anyone in New Zealand looking to setup a company, the http://www.business.govt.nz site has all the official information you'll need.

Interestingly, even the companies office has started their own blog - http://blog.companies.govt.nz. When that happens you know they've finally caught up with the rest of the world!

I incorporated in Nevada.

They will have you incorporate in nevada, and also possibly NC.

If you have a physical product that you will be shipping, and/or plan on doing any physical business in NC, then I would look at also setting up what is called Foreign Qualification.

That is just saying that your primary business resides in Nevada, but is respected by the state of NC.

All together it ran about $950.00 including the initial list fee. I went through
the nevada company, and they were great.

Also, as long as you have a registered agent, you won't have to worry about having a mailing address, and physical office set up in nevada.
